Seller Agreement

Service Provider Agreement · Effective Date: February 20, 2026

This agreement governs your participation as an independent Service Provider on the MyGold marketplace. By registering as a Seller, you agree to be legally bound by this Agreement.

1. Purpose

This Seller Agreement ("Agreement") governs participation as an independent Service Provider ("Seller") on the MyGold marketplace ("Platform"), operated by the Company. By registering as a Seller, you agree to be legally bound by this Agreement.

2. Independent Contractor Status

You acknowledge and agree that: • You are an independent contractor • You are not an employee, worker, agent, or partner of the Company • Nothing in this Agreement creates employment, joint venture, or partnership • You control how, when, and by what means services are performed • You may accept or decline orders at your discretion You are solely responsible for: • Your taxes • Insurance • Regulatory compliance • Social security contributions • Local reporting obligations The Company does not withhold taxes on your behalf.

3. Platform Role

The Company: • Operates solely as a technology marketplace • Facilitates payment collection as commercial agent for the limited purpose of distributing funds • Does not supervise or control service performance • Does not guarantee customer conduct You contract directly with the customer for the provision of services.

4. Service Responsibility

You are solely responsible for: • Performing services lawfully • Ensuring compliance with applicable laws in your jurisdiction • Ensuring compliance with applicable game publisher policies • Maintaining confidentiality of customer data The Company is not liable for: • Account suspensions • Game bans • Rank resets • In-game penalties

5. Pricing

Unless otherwise specified: • You may set your own prices • You determine your own availability • You are free to decline service requests The Company may establish platform-wide fee structures or commission rates.

6. Platform Fees

The Platform charges: • A fixed listing fee (currently £0.50 per order), and • A commission fee (currently 7%) upon successful completion These fees may be updated upon notice. Platform fees are non-refundable.

7. Payment Processing & Balances

Payments are processed via regulated third-party providers (e.g., Stripe Connect). Funds are: • Collected by the Platform as commercial agent • Automatically split per Platform fee structure • Credited to your Platform balance Funds in your balance: • Do not constitute a bank deposit • May be subject to review, delay, or reversal • Remain under Platform control until withdrawal

8. Withdrawals

Withdrawals: • Are subject to verification • May be delayed for risk review • May be subject to minimum thresholds The Company may: • Suspend withdrawals • Freeze balances • Reverse credited funds • Offset negative balances

9. Chargebacks, Reversals & Negative Balances

You acknowledge that payment disputes, chargebacks, reversals, or fraud claims may occur after service completion. In the event of: • A customer chargeback • A payment processor reversal • A fraud investigation • A violation of payment processor rules • A confirmed breach of Platform policies The Company may: • Deduct the disputed amount from your balance • Reverse previously credited earnings • Create a negative balance on your account • Suspend withdrawals • Offset future earnings against outstanding losses You remain fully liable for all losses, fees, penalties, and administrative costs incurred by the Company as a result of your services or conduct.

10. Fraud, Misconduct & Balance Confiscation

If the Company determines, acting reasonably and in good faith, that you have engaged in: • Fraudulent conduct • Use of stolen payment methods • Collusion with customers • Manipulation of disputes • Circumvention of Platform fees • Intentional violation of publisher rules causing financial harm • Identity misrepresentation • Use of multiple deceptive accounts • Any activity exposing the Company to legal, financial, or regulatory risk The Company reserves the right to: • Immediately terminate your account • Permanently confiscate any current balance • Withhold pending payouts indefinitely • Recover additional losses exceeding your balance • Report activity to payment processors or relevant authorities Confiscated balances may be applied toward: • Chargeback losses • Payment processor penalties • Investigation costs • Legal expenses • Administrative damages You acknowledge that forfeiture of funds in cases of proven fraud constitutes a reasonable and proportionate protective measure, not a penalty.

11. Non-Circumvention

You agree not to: • Solicit customers to transact outside the Platform • Share contact details to bypass commission • Accept direct payment from Platform customers outside the Platform This obligation survives termination.

12. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from: • Your services • Violations of publisher policies • Fraudulent activity • Breach of this Agreement • Chargebacks caused by your conduct

13. Sanctions & Compliance

You represent that: • You are not located in a sanctioned jurisdiction under UK law • You are not on any applicable sanctions list • You are not acting on behalf of restricted persons The Company may suspend accounts for compliance review.

14. Confidentiality

You must: • Protect customer information • Not misuse account credentials • Not store unnecessary personal data

15. Intellectual Property

You may not: • Use Platform branding without permission • Represent yourself as the Company • Imply official affiliation with game publishers

16. Termination

The Company may suspend or terminate your account if: • Fraud is suspected • Chargebacks occur • You violate this Agreement • Regulatory risk arises Upon termination: • Pending funds may be held for dispute resolution • Negative balances remain payable

17. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for: • Lost profits • Business interruption • Publisher enforcement actions • Indirect or consequential damages Total liability shall not exceed the commission earned by the Company in the transaction giving rise to the claim.

18. Governing Law

This Agreement is governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction unless arbitration is agreed.

19. Severability

If any provision is invalid, the remainder remains enforceable.

20. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company.

By registering as a Seller on MyGold, you acknowledge that you have read, understood, and agree to this Seller Agreement.
